Our fee averages $600 for the entire set of services listed below. The services provided below are generally all that any corporation needs to establish a legal functioning business entity.

Our incorporation group provides the following services to our clients:

• Name search for business.
• Stock certificates that are blank or can be legend (issuance of stock is generally required).
• Preparation of customized bylaws and organizational resolutions of the Board of Directors (necessary documents).
• Articles of Incorporation prepared and filed with the state (necessary document)
• Corporate seal
• Draft template for corporate minutes
• Prepare and send for taxpayer identification number (required for tax purposes)
• Preparation of S Corporation election for clients deciding to establish and operate as an S Corporation.
• Preparation of LLC election to operate as a corporation for clients who want the legal and tax benefits of a corporation.

Ongoing consultation

Unlike filing services, we offer guidance and legal advice on managing and operating the corporation so that the corporate status is given legal effect for all business transactions. This is important because corporations that do not follow corporate formalities or conduct business as a corporation may be disregarded. If the corporate status is disregarded, legal liability and tax liability can be imposed on the individual shareholders.
